9. Warranty Claims - Invoiced items for a warranty claim are due on
the invoice due date.
Special Terms – Municipal Sales
Terms extension requests beyond the standard 7- Days for consignment products
must be submitted and approved before delivery.
Offsite Storage
Any consignment inventory stored at a location not listed on Schedule A of the
Dealer Sales and Service Agreement (“DSSA”) must be approved, and proof of
insurance provided with the Company (Positec) as additional insured and loss payee
on the policy.
Transfers of Consignment Inventory
Requests to transfer consignment inventory out of Dealer inventory are done
through the Dealer Portal. Approval from the Company is required.
Dealer Application, Documentation, and Set-up
Dealer consents to the filing of the appropriate UCC-1 Financing Statements and
any other documents requested for such a purpose.
1. Documentation needed for filing by type of entity:
a. Sole Proprietors
i Scanned copy of the sole proprietor’s driver’s license
b. Partnerships
i Partnership Agreement
ii Scanned copy of each partner’s driver’s license
c. Corporations
i Copy of Articles of Incorporation
d. Limited Liability Corporations
i Copy of Certificate of Formation and/or Operating Agreement
2. Financial Statement Requirements:
a. CPA-prepared financials for previous two years OR Tax Returns for
previous two years
3. Certificate of Insurance:
a. Dealer will provide a certificate of insurance before the first shipment
of Kress Products, naming the Company as an additional insured for an
amount requested by the Company based upon the estimated value of
the Kress Products to be located at Dealer. Insurance must protect
against the loss, theft, or damage to the Products.
