The purpose of the Kress Partnership Program (KPP) Policy is for Positec
Commercial, Inc. (the “Company”) to provide Kress Dealers with products on a
consignment basis giving Kress Dealers the opportunity to represent the Kress
products without investing additional capital.
The Company retains ownership of consignment product(s) until the consignee, the
Kress Dealer, sells the products to the Customer. The following are the policies
and procedures to be followed with consignment products provided in the KPP
program.
Policy
How does the Kress Partnership Program work?
1. The KPP products shall be shipped to Dealer Location on Consignment. As
such, the Company shall control entirely the price at which the Products are
sold to end-user customers. Dealer shall not, in its dealings with end-user
customers, deviate from the price of the Products set by the Company.
2. Ownership to the KPP products shipped and consigned to Dealer shall
remain with the Company until sold by Dealer to the end-user customer, at
which time ownership shall pass from the Company to Dealer and then
immediately to the end-user.
3. From the time that Dealer receives possession of the KPP products, Dealer
shall be responsible for the payment of all expenses related to its
possession, including storage, insuring, selling, and delivery to the end-user.
4. All KPP products in the Dealer’s possession shall be subject to the
Company’s direction and control. Upon the Company’s request, Dealer shall
return any unsold KPP products to the Company, or elsewhere at the
direction of the Company.
